I don't think you'd see much of a increase in performance but you would have DX10 and DX11 with a GPU upgrade plus a clean install always speeds things up a bit. Mainly you'd have a better OS, I love Windows 7.
I think 4GB is the sweet spot for LGA775, never seen much if any benefit to 8GB and I've tried alot of different memory/motherboard configurations.
